Buy or Sell a Business in Georgia
GBCORP sells and buys companies across Georgia in transactions up to USD 20 million, from service and tech firms in Tbilisi to hotels in Batumi and producers in Kutaisi and the regions. We run each deal from valuation to the Public Registry, in Georgian or English, with our local partner network of lawyers, accountants and notaries.
Why Georgia
Georgia, at the crossroads of Europe and Asia in the South Caucasus, has one of the simplest business environments in the region: companies can be registered in a day, foreigners can own most kinds of property, and paperwork moves quickly through the Public Registry. Black Sea ports at Poti and Batumi link it to Europe, Turkey and Central Asia.
Georgia also taxes company profit only when it is distributed, so earnings reinvested in the business are not taxed. With free trade agreements with the EU and China, that makes Georgian companies practical bases for regional trade, tourism and services.

Georgian rules that shape the deal
The points that decide structure, timing and cost in a Georgian transaction.
- Registration makes it final. A share transfer in a Georgian LLC takes effect once it is registered with the National Agency of Public Registry, whose records of company owners are public.
- Pre-emption rights. Other partners of an LLC generally have a pre-emptive right when a share is sold to an outsider, unless the charter says otherwise.
- Tax on distributed profit. Companies pay profit tax when they distribute earnings rather than when they earn them, which shapes how retained profit is priced.
- Agricultural land. Foreign individuals and foreign-owned companies face restrictions on owning agricultural land; commercial and residential property is open to foreign buyers.
- Free industrial zones. Businesses in Georgia’s free industrial zones, such as Tbilisi, Kutaisi and Poti, operate under a special tax regime that buyers should review.

Questions about buying and selling in Georgia
The questions we hear first, answered plainly.
How long does it take to sell a business in Georgia?
Most company sales take three to nine months from valuation to registration. Finding the right buyer and due diligence take most of that time; registration with the Public Registry itself is quick.
How is a share in a Georgian LLC transferred?
Seller and buyer sign a transfer agreement with verified signatures, partners’ pre-emption rights are respected where they apply, and the transfer takes effect once the National Agency of Public Registry registers it.
Can a foreigner buy a business in Georgia?
Yes. Foreigners can own 100% of a Georgian company and its commercial property, and registration is quick. Agricultural land is the main exception, with restrictions for foreign owners.
